1. Introduction

Welcome to Decarded s.r.o. (“Decarded”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your access to and use of our loyalty management services, including the Decarded website, mobile application, and any other services we offer (collectively, “Services”). By registering an account or otherwise using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

2. Definitions

• Company: Decarded s.r.o., Senovážné náměstí 23, Prague 1, 110 00, Czech Republic, IČO 22338233.
• User: An individual or entity who accesses or uses the Services.
• Account: A registered profile allowing the User to access Decarded Services.
• Services: All functionalities offered by Decarded, including loyalty management, digital cards, notifications, and analytics.
• Content: All data, information, and materials made available through the Services.
• Subscription: The paid plan allowing access to enhanced features of the Services.

3. Account Registration

• To access certain features, you must create an Account.
• You must provide accurate, complete, and current information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify Decarded of any unauthorized access or use of your account.

4. Description of Services

Decarded provides a comprehensive loyalty management platform, enabling Users to:

• Issue and manage digital loyalty cards;
• Automate loyalty programs (e.g., discounts, rewards, digital stamps);
• Send push notifications, emails, and SMS to customers;
• Track customer engagement and performance through analytics;
• Integrate loyalty functionalities into external platforms (optional).

Some features may require a valid Apple Developer Account and/or Google Merchant Account owned by the User.

5. Apple Developer and Google Merchant Requirements

For using certain features, the User must maintain:

• A valid paid Apple Developer Account and Pass Type ID certificate to issue Apple Wallet passes.
• A valid Google Merchant Center Issuer ID to issue Google Pay Passes.

Failure to maintain these certificates may limit your access to specific functionalities. Decarded is not responsible for any limitations resulting from the User’s failure to comply with third-party platform requirements.

6. User Obligations

By using the Services, you agree:

• Not to use the Services for any unlawful purpose;
• Not to upload or distribute viruses, malware, or any harmful content;
• Not to attempt to reverse engineer, decompile, or modify the Services;
• To comply with all applicable laws and regulations;
• To ensure that your actions do not interfere with the operation of the Services.

7. Company Rights and Responsibilities

• Modify, update, or discontinue parts of the Services at any time without prior notice;
• Suspend or terminate Accounts that violate these Terms or applicable laws;
• Require additional verification or information from the User to maintain account security;
• Change subscription pricing and Service offerings, with prior notice.

We are responsible for providing access to the Services under these Terms, subject to technical limitations.

8. License Grant and Restrictions

Decarded grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You may not:

• Sell, rent, lease, sublicense, or distribute the Services to third parties;
• Copy or create derivative works based on the Services;
• Attempt to access source code or algorithms behind the Services.

9. Subscriptions, Payments, and Refunds

• Access to certain features of the Services requires a paid Subscription.
• Pricing and Subscription plans are detailed on the Decarded website.
• Payments must be made in advance for the Subscription period.
• Subscriptions automatically renew unless canceled prior to the renewal date.
• All payments are non-refundable unless otherwise expressly stated.
• Failure to pay on time may result in suspension or termination of your account.

10. Trial Period

• At its discretion, Decarded may offer a trial period.
• Trial features may be limited compared to paid Subscriptions.
• No refunds are offered for unused portions of the trial period if the User upgrades or cancels early.

11. Termination and Deletion of Account

• You may delete your account at any time by contacting us.
• We may suspend or terminate your account for violations of these Terms or non-payment.

Upon termination:

• Your access to Services will be revoked.
• Your stored data may be deleted permanently after a retention period.
• Subscription fees already paid are non-refundable.

12. Intellectual Property

All rights, title, and interest in and to the Services and all intellectual property rights belong exclusively to Decarded or its licensors. Nothing in these Terms grants you any right to use Decarded’s trademarks, logos, or service names without prior written consent.

13. Limitation of Liability

To the fullest extent permitted by law:

• Decarded is not liable for any indirect, incidental, consequential, or punitive damages.
• Our liability is limited to the total amount you have paid to Decarded in the twelve (12) months preceding the claim.
• We are not responsible for data loss, business interruptions, or losses caused by third-party providers.

14. Force Majeure

Decarded is not liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to:

• Natural disasters;
• Acts of war or terrorism;
• Internet outages or interruptions;
• Changes in regulations affecting third-party platforms (Apple, Google).

15. Dispute Resolution

Before initiating legal proceedings, parties shall attempt to resolve disputes amicably through negotiation. If negotiations fail, disputes shall be resolved exclusively by the competent courts of the Czech Republic.

16. Changes to These Terms

Decarded may modify these Terms at any time. Updated Terms will be published on the Decarded website. Continued use of the Services after changes constitutes acceptance of the new Terms.
